Terms of Service — NGARi

These Terms govern your use of the NGARi website, NGARi ID, the NGARi Preview, and our APIs. By using them, you agree to these Terms. If you do not agree, do not use the service.

1. Who may use the service

You must be at least 18, or between 13 and 17 with a parent or guardian's permission. You must have authority to accept these Terms and must not be barred from using the service under applicable law.

2. NGARi ID

• Free reservation: no card is required. The current free plan includes 20 messages and 200,000 tokens per month. Limits may change.
• Paid plan: $12 per year, currently including 100 messages and 1,000,000 tokens per month. It renews annually until canceled.
• Not a mailbox: NGARi ID provides an address, AI handling, forwarding, and owner-approved send-as. It does not provide mailbox storage or IMAP. External senders do not receive automatic replies.
• Your name is a license: reserving a name gives you a limited, revocable right to use that address while your account is active. It is not property, a trademark right, or a transferable asset. We may reclaim a name for legal, abuse, security, or operational reasons.
• Owner email: you must control the email address you register and keep it current. You are responsible for activity under your NGARi ID.

3. Billing, renewals, and cancellation

Paid plans are billed in U.S. dollars through Stripe. Prices exclude applicable taxes. Paid subscriptions renew automatically at the then-current price until canceled. You can cancel through the Stripe customer portal or by contacting support; access continues through the current paid period unless we suspend or terminate for cause. The address is revoked when the paid subscription ends. We do not provide refunds for partial periods except where required by law or our Refund Policy. A failed or disputed payment may result in suspension. We will give notice of material price changes before they apply.

4. Acceptable use

Do not use NGARi ID or the APIs to:

• break the law, infringe rights, or violate privacy or confidentiality obligations;
• send spam, phishing, malware, or deceptive or unsolicited bulk mail;
• harass, threaten, impersonate, or defraud anyone;
• make high-stakes decisions about people without human review, or provide regulated professional advice without the required qualifications;
• evade rate limits, security controls, or provider restrictions;
• resell raw inference as a competing model service, or attempt to extract, reverse engineer, or replicate model weights.

We may filter, refuse, suspend, or revoke access to prevent abuse or comply with law.

5. AI outputs

AI outputs can be inaccurate, incomplete, or offensive. They are not legal, medical, financial, or other professional advice. Verify important information before relying on it. Subject to applicable law and third-party terms, you retain your rights in the content you provide, and we do not claim ownership of outputs generated for you. We do not guarantee that outputs are unique or error-free.

6. Email and send-as

You are responsible for every message sent as your NGARi ID. Send-as requires owner approval and must not misrepresent your identity or authorization. External mail is forwarded and summarized; we may block mail or senders that appear abusive, fraudulent, or unlawful. Do not use NGARi ID to impersonate a person or organization you do not represent.

7. APIs and cloud models

API access is metered and may be prepaid. Published rates, model availability, limits, and deprecation schedules apply. Some models may run on our hardware; others may be cloud-hosted. Cloud-hosted models are not private or on-device and are subject to the model provider's terms. The APIs carry no SLA and may be rate-limited or changed. Keep API keys secret; you are responsible for usage under your keys. Do not resell raw inference as a competing service or reverse engineer the models.

8. Suspension and termination

We may suspend or terminate access for violation of these Terms, nonpayment, legal or security risk, or misuse. On termination, your address may be revoked and name may become available to others. We will handle personal information as described in the Privacy Policy.

9. Disclaimers and limitation of liability

The service is provided “as is” and “as available,” without warranties of any kind to the extent permitted by law. We do not warrant uninterrupted or error-free operation. To the maximum extent permitted by law, Bison Venture Partners LLC dba NGARi is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our aggregate liability for claims relating to the service will not exceed the amount you paid us in the 12 months before the claim, or $50 if you used a free plan. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

10. Intellectual property and feedback

NGARi and its licensors own the service, software, models, brand, and documentation. You retain rights in your inputs. If you send feedback, you grant us a non-exclusive, worldwide, royalty-free license to use it to improve the service.

11. Changes, governing law, and contact

We may update these Terms as the service changes; the effective date will be posted and material changes will be notified where appropriate.
